Waterstones Eyes London Stock Market Listing After Appointing Next Chairman to Its Board

Waterstones, the UK’s largest bookselling chain, is taking concrete steps toward a public listing on the London stock market, signalling a significant shift in strategy for a business that has operated under private ownership since Elliott Advisors acquired it in 2018. The appointment of Sir Simon Wolfson’s close associate and Next’s long-serving chairman, Michael Roney, to the Waterstones board marks a deliberate move to bring institutional-grade governance to a retailer preparing for the scrutiny of public markets.

Roney, who served as chief executive of Bunzl for over a decade before joining Next’s board, brings a track record in managing complex, multi-format businesses through capital market cycles. His appointment is widely read in the City as a preparatory signal rather than a routine governance decision. Retailers approaching a listing typically strengthen their boards with figures who carry credibility among institutional investors, and Roney fits that profile precisely.

Waterstones currently operates around 300 stores across the UK and Ireland, employing several thousand staff. Under the leadership of chief executive James Daunt, the chain reversed years of decline by decentralising buying decisions and allowing individual stores to curate their own stock. That operational model, unusual in retail, helped Waterstones return to profitability and rebuild its reputation as a cultural institution rather than a struggling high street name.

Elliott Advisors, the US-based activist hedge fund that owns Waterstones, also controls Barnes and Noble in the United States. The dual ownership creates potential for a combined or parallel listing strategy, though no formal structure has been confirmed. According to London Hub Global analysts, the timing of the Roney appointment suggests that Elliott is moving from exploratory conversations about a listing toward active preparation, which typically precedes a formal mandate to investment banks by twelve to eighteen months.

The UK IPO market has been subdued in recent years. Rising UK interest rates, persistent UK inflation, and broader uncertainty across UK financial markets dampened appetite for new listings between 2022 and 2024. The Bank of England’s rate-cutting cycle, which began in August 2024 and has continued into 2025, is gradually restoring conditions more favourable to equity issuance. The FTSE 100 has shown resilience, and mid-cap appetite among fund managers has improved, creating a window that companies like Waterstones may be positioning to use.

We at London Hub Global note that the London stock market has faced structural pressure from companies choosing New York over London for primary listings. High-profile departures, including Flutter Entertainment and CRH, prompted regulatory reforms to the UK listing rules in 2024, designed to make London more competitive. A Waterstones listing, if it proceeds, would represent a domestically rooted consumer brand choosing London, which carries symbolic as well as commercial weight for the City.

For the London business environment, a Waterstones listing would add a consumer retail name to a market that has seen its retail representation thin over the past decade. The London economy benefits from a diverse equity market, and consumer-facing companies with strong brand recognition tend to attract retail investor participation alongside institutional flows. Waterstones, with its cultural cachet and loyal customer base, could generate genuine public interest in a way that more opaque industrial or financial listings do not.

The company’s valuation at listing remains speculative at this stage. Comparable specialty retailers in the UK have traded at varying multiples depending on growth trajectory and margin profile. Waterstones has demonstrated margin recovery, but physical retail faces ongoing structural headwinds from e-commerce. Any prospectus will need to address how the business sustains footfall and revenue in a market where Amazon continues to dominate book sales by volume.

London Hub Global analysts forecast that if Waterstones proceeds with a listing in 2025 or 2026, it will do so in a market that is more receptive than it was two years ago, but still demanding in terms of earnings visibility and management credibility. The Roney appointment directly addresses the latter. Investors will want to see consistent free cash flow, a credible store estate strategy, and clarity on how the Barnes and Noble relationship either adds or is ring-fenced from the listed entity.

The broader signal for UK financial markets is that private equity owners are beginning to test exit routes through public markets again, after a prolonged period of preferring trade sales or secondary buyouts. If Waterstones achieves a successful listing, it could encourage other Elliott-held assets and private equity-backed UK retailers to follow. That pipeline effect matters for London’s position as a listing venue competing with Amsterdam, Dublin, and New York for European and UK corporate mandates.

In our view at London Hub Global, the Waterstones story is as much about the recovery of confidence in London as a listing destination as it is about one bookseller’s corporate evolution. The combination of a recognisable consumer brand, experienced board appointments, and improving conditions across UK financial markets creates a credible foundation. The execution risk remains real, but the direction of travel is now clearly set toward a public market debut on the London stock market.
